These Terms of Service ("Terms") govern your access to and use of the PriceJoule platform and services. By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

By accessing or using the PriceJoule platform, website, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services.
Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
2. Description of Services
Platform Overview
PriceJoule provides an AI-powered enterprise pricing platform that helps businesses optimize their pricing strategies, manage deals, analyze margins, and improve revenue outcomes. Our Services include the Pricing Engine, Deal Desk, Margin Analyzer, AI Intelligence features, and related tools and integrations.
Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time with reasonable notice when possible.
3. User Accounts
Account Registration
To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
Account Security
You are responsible for safeguarding the password you use to access the Services and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
Account Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.
4. Acceptable Use
Permitted Use
You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use the Services only for your internal business operations and in compliance with all applicable laws and regulations.
Prohibited Activities
You agree not to: (a) use the Services for any illegal purpose; (b) attempt to gain unauthorized access to any portion of the Services; (c) interfere with or disrupt the Services or servers; (d) reverse engineer, decompile, or disassemble any aspect of the Services; (e) use the Services to transmit viruses or malicious code; (f) use automated systems to access the Services without permission; or (g) resell or redistribute the Services without authorization.
5. Intellectual Property
Our Intellectual Property
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by PriceJoule, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Limited License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.
Your Content
You retain ownership of any data, content, or materials you submit to the Services ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive license to use, process, and store Your Content solely to provide the Services to you.
6. Data and Privacy
Data Processing
We will process your data in accordance with our Privacy Policy and applicable data protection laws. For enterprise customers, we offer Data Processing Agreements (DPAs) that comply with GDPR and other regulatory requirements.
Data Security
We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. We cannot guarantee absolute security of your data.
7. Fees and Payment
Subscription Fees
Access to certain features of the Services requires payment of fees. All fees are specified in your subscription agreement or order form. Fees are non-refundable except as expressly stated in these Terms or your subscription agreement.
Payment Terms
You agree to pay all applicable fees when due. If payment is not received by the due date, we may suspend or terminate your access to the Services. All fees are exclusive of taxes, which you are responsible for paying.
8. Warranties and Disclaimers
Service Warranty
We warrant that the Services will perform substantially in accordance with the applicable documentation during the subscription term. Your sole remedy for breach of this warranty is correction of the non-conforming Services or, if we cannot correct the issue, termination of your subscription and a pro-rata refund of prepaid fees.
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9. Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRICEJOULE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PRICEJOULE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Exclusion of Damages
IN NO EVENT SHALL PRICEJOULE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
Your Indemnification
You agree to indemnify, defend, and hold harmless PriceJoule and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.
11. Governing Law and Disputes
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
12. General Provisions
Entire Agreement
These Terms, together with any applicable subscription agreement and our Privacy Policy, constitute the entire agreement between you and PriceJoule regarding the Services and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
